Banking, Finance & Enforcement

Claim. Security. Actual recovery.

A financing agreement allocates obligations and risks between the debtor, the creditor and those providing security. Repayment dates, interest obligations, contractual restrictions and acceleration conditions affect available funds and exposure of assets.

The existence of a claim, a basis for compulsory enforcement, the effect of security and the prospect of actual recovery are separate questions. Their relationship determines the creditor’s legal options, the debtor’s defences and the liability of other participants.

Legal advice and representation cover the structuring of financial relationships, protection of rights in the event of non-performance and enforcement of claims. A decision to recover, dispute or agree terms for a debt requires assessment of the legal basis, available assets and consequences for business operations.

Advice and representation

Loan and financing agreements

Legal analysis, drafting and negotiation of loan agreements and other financing arrangements. Terms governing the use of funds, repayment, interest, contractual restrictions and acceleration conditions.

Mortgages, pledges and security instruments

Legal arrangements for security over real estate, movable assets and rights, including documentation and necessary registrations. Review of the scope of secured obligations, existing encumbrances, ranking and conditions for enforcement of the relevant right.

Suretyship, guarantees and co-debtorship

Legal analysis of suretyship for another person’s obligations, bank guarantees and co-debtorship, distinguishing their legal bases, the extent of liability, triggering conditions and available defences. Contractual warranties concerning transaction facts or attributes are considered separately from personal security for obligations.

Debt recovery and contested claims

Review of principal, interest and costs, maturity, payments made, limitation and other grounds for disputing a claim, and preparation of demands for payment. The choice of procedure separately addresses proof of a contested obligation and the conditions for compulsory enforcement.

Enforcement proceedings and compulsory recovery

Preparation of applications and representation in enforcement proceedings, including the choice of legally permitted enforcement methods and assets, recovery from funds and other property, and appropriate procedural steps. Review of enforceable instruments and other documents permitted by law, third-party rights and restrictions on compulsory recovery under the applicable law.

Protection of creditors and debtors

Representation of creditors or debtors in objections and other available legal remedies. Consideration of restrictions on enforcement and the conditions for postponement or discontinuance, according to the procedural position and applicable law.

Negotiation, settlement and debt restructuring

Legal support in negotiations on revised deadlines, instalment payments and other agreed arrangements for existing obligations. Preparation of agreements covering amounts and payment, effects on security and other participants’ liability, and the consequences of further non-performance.

Due diligence of obligations and security

Review of financing agreements and asset documentation to establish existing obligations, the validity of security and restrictions on disposal. Assessment of legal risks relevant to new financing, the provision of security or changes to existing debt terms.

The amount owed and the prospect of recovery

The nominal debt and the amount recoverable may differ. Assessment of recoverability takes account of the debtor’s available assets and funds, their accessibility and realisability, and the cost and duration of the necessary proceedings.

For claims secured by a mortgage or pledge, the value and realisability of the collateral and existing third-party rights matter. Ranking and distribution rules are reviewed according to the type of right, relevant registrations and the procedure in which recovery is sought.

For suretyship or co-debtorship, the extent of liability and the available resources of the person asked to perform must be established. The provision of security alone does not establish that a debt will be recovered in full.

For a creditor, an unpaid mature claim may reduce available funds and create a need for additional financing. For a debtor, acceleration, restrictions on funds or the realisation of business-critical assets may disrupt ordinary operations. The consequences of non-performance are also considered in relation to other obligations.

An agreed debt arrangement is compared with the options and costs of continuing recovery. An extended term, instalments or reduction of part of a claim have different effects on available funds and the risk of further non-performance. The arrangement’s legal enforceability, its effect on existing security and the need for other participants’ consent require particular attention.

Documentation and legal options

We review documentation in light of the specific financial relationship and the client’s position. We consider the origin and content of the obligation, maturity, calculation of the claim, payments made and the circumstances of non-performance.

The finality of a decision, its enforceability and the prospect of recovery are separate questions. Compulsory recovery requires a legally permitted basis and fulfilment of the procedural requirements. The appropriate legal route depends on the documents, the type of claim and any objections, with review of the applicable law and jurisdiction within Bosnia and Herzegovina.

We review each security instrument according to its terms, how it was created and the options for enforcing it. A surety, co-debtor and provider of a mortgage or pledge differ in the basis and extent of liability. We separately check limitation, deadlines for remedies, other creditors’ rights and possible restrictions on enforcement.

We connect the legal options with available information about assets and liquidity and the cost of each step. The assessment should support a decision on the next action: a payment demand, enforcement application, objection or debt negotiations. The choice is reassessed when changes in documentation, assets or procedural position affect the options for protection.
